Noel Tata Challenges Tata Sons Board Decision to Reappoint N Chandrasekaran as Chairman

Tata Trusts Chairman Noel Tata has challenged the Tata Sons board’s decision to reappoint N Chandrasekaran as chairman for another five-year term, questioning whether the resolution was approved through the proper process.

In a letter sent on October 26 to Tata Sons Company Secretary Suprakash Mukhopadhyay, Noel disputed the resolution passed at the company’s September 17 board meeting. Chandrasekaran’s current term is scheduled to end in February 2027, and the new appointment would extend his tenure by another five years.

Noel has argued that the resolution should be considered invalid because the reappointment was not explicitly included in the meeting’s agenda. He has also raised concerns about the notice and procedures followed before the board took the decision.

Noel Tata Questions the Reappointment Process

According to people familiar with the matter, Noel contended that the September 17 meeting was intended to include a briefing from the nomination and remuneration committee, rather than a formal decision on Chandrasekaran’s reappointment.

He has challenged the decision on procedural grounds and sought access to the unedited video recording of the board meeting. The recording, he believes, would help establish how the matter was discussed and whether the proceedings followed the company’s rules.

The latest challenge has brought differences within the leadership of the Tata Group’s holding company into sharper focus. Emails seeking comments from Tata Sons and Tata Trusts had not received an immediate response at the time of reporting.

Divided Views Among Tata Sons Directors

Noel, who chairs Tata Trusts, had opposed Chandrasekaran’s reappointment during the September board meeting.

Tata Trusts holds approximately 66% of Tata Sons, making it the company’s largest shareholder. Noel and Venu Srinivasan are the two Tata Trusts representatives on the Tata Sons board.

While Noel voted against the reappointment, Srinivasan supported the proposal alongside the majority of the directors. Anita George, Harish Manwani and Saurabh Agarwal were also among those who backed Chandrasekaran’s continuation as chairman.

Noel has argued that Tata Sons’ Articles of Association require the affirmative vote of Tata Trusts’ nominee directors for the resolution to be valid. This interpretation is central to his objection to the board’s decision.

Leadership Dispute Continues

The disagreement follows an earlier decision by Chandrasekaran not to seek another term when his current tenure concludes in February 2027. The board subsequently voted to reappoint him for a further five years, despite Noel’s opposition.

The dispute has raised questions about the company’s board procedures, the role of Tata Trusts in key leadership decisions and the process for determining the group’s next chairman.

Noel’s request for the unedited meeting recording adds another dimension to the disagreement, as he seeks greater clarity on how the reappointment was considered and approved.

The outcome of the challenge could have implications for Tata Sons’ leadership transition and the relationship between the company’s board and its largest shareholder. As of October 26, Tata Sons had not publicly responded to the latest letter.
