Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HELOIX SHALL NOT BE LIABLE FOR:
Indirect Damages
Loss of profits, revenue, data, or business opportunities resulting from use or inability to use our services.
Third-Party Products
Issues arising from third-party services, integrations, or products referenced on our platform.
User Modifications
Problems resulting from your modifications, customizations, or implementation of purchased products.
Force Majeure
Events beyond our reasonable control including natural disasters, war, terrorism, or infrastructure failures.
Maximum Liability Cap
Our total liability for any claims arising from these terms or use of our services shall not exceed the amount you paid to Heloix in the twelve (12) months preceding the claim, or $100 USD, whichever is greater.
Termination
Either party may terminate this agreement under certain conditions. Termination affects your access rights and obligations.
Your Right to Terminate
- Close your account anytime from dashboard
- Cancel subscriptions before renewal
- Request data export before closing
- Retain licenses for purchased products
Our Right to Terminate
- Terms of service violations
- Fraudulent or illegal activity
- Non-payment or chargebacks
- Abuse or harassment
Effect of Termination
Upon termination, your right to use the platform ceases immediately. However:
- • Previously purchased product licenses remain valid
- • Downloaded products can continue to be used per license terms
- • Access to platform services and support ends
- • Subscription benefits terminate immediately
- • Partner program participation ends
Dispute Resolution
We believe in resolving disputes amicably. If a conflict arises, we encourage you to contact us first to seek resolution.
Informal Resolution
Contact our support team at [email protected] to discuss the issue. Most disputes can be resolved through direct communication within 14 days.
Mediation
If informal resolution fails, both parties agree to attempt mediation through a mutually agreed neutral third-party mediator before pursuing litigation.
Arbitration
Unresolved disputes shall be settled by binding arbitration in accordance with the rules of the Indian Arbitration and Conciliation Act, 1996.
Governing Law & Jurisdiction
These Terms shall be governed by the laws of India, without regard to conflict of law provisions.
Exclusive jurisdiction for any legal proceedings shall be the courts of Bangalore, Karnataka, India.
Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes in advance.
