Tonbo Imaging India is preparing to enter the public markets with an initial public offering (IPO) worth ₹852 crore. The Bengaluru-based defence electronics company has set its share price between ₹665 and ₹700, with the subscription window scheduled to run from October 15 to October 19, 2026.
The offering will allow existing shareholders to sell part of their holdings. Since the IPO consists entirely of an offer for sale (OFS), Tonbo Imaging will not receive fresh capital from the transaction.
At the upper end of the price band, Tonbo Imaging is expected to command a valuation of approximately ₹4,010 crore. The issue involves the sale of around 1.22 crore existing equity shares by promoters and investors.
The company's shares are expected to list on the stock exchanges on October 23, 2026, following the completion of the IPO process.
The proposed offering is primarily an opportunity for existing investors to realise returns on their investments. CEAQ Technologies Private Limited and CEAQ Technologies Pte. Ltd. are the largest shareholders selling shares in the issue.
The promoters—Arvind Kondangi Lakshmikumar, Ankit Kumar and Cecilia D’Souza—are also participating in the offer. Other selling shareholders include investment firms and individual investors.
Because the issue does not include newly issued shares, the proceeds, after applicable expenses, will go to the shareholders selling their stakes rather than to the company.
Founded in 2003, Tonbo Imaging develops advanced sensing and electronic systems for defence and security applications. Its product range includes thermal imaging equipment, weapon sights, handheld thermal binoculars, targeting systems, missile seekers and fire-control technologies.
These products are used in surveillance, reconnaissance, targeting and other military operations. The company serves defence forces, law enforcement agencies, homeland security organisations and defence equipment manufacturers.
Tonbo's business is positioned to benefit from demand for specialised defence technology, including systems developed and manufactured in India. However, its financial results also depend on the timing of large customer orders, export demand and the execution of defence contracts.
Despite its presence in the defence electronics market, Tonbo Imaging experienced a weaker financial year in FY26.
Revenue from operations declined to ₹362.65 crore in FY26 from ₹469.08 crore in FY25. This represented a year-on-year fall of approximately 22.7%.
The company's red herring prospectus attributes the decline partly to disruptions linked to the West Asia conflict, which delayed certain international orders. Some orders expected in FY26 were also deferred to FY27.
Export revenue was particularly affected. Export sales dropped sharply to ₹20.21 crore in FY26 from ₹307.34 crore in the previous financial year. As a result, exports accounted for a much smaller share of total operating revenue.
Domestic sales increased to ₹337.47 crore, helping offset some of the weakness in international markets. However, the rise in domestic business was not enough to prevent an overall revenue decline.
Profit after tax also weakened, falling approximately 30.1% to ₹50.88 crore in FY26 from ₹72.8 crore in FY25. Earnings before interest, tax, depreciation and amortisation (EBITDA) decreased to ₹104.62 crore, while the EBITDA margin slipped to 28.85%.
Tonbo Imaging reported negative operating cash flow of ₹63.22 crore in FY26, following an outflow of ₹136.12 crore in FY25.
Cash flow is an important consideration for defence manufacturers because projects can involve long production cycles, inventory requirements and payment schedules tied to contract milestones. The company's filings also point to working-capital pressures associated with inventory and the timing of orders.
Customer concentration presents another consideration. The company's five largest customers contributed approximately 53.03% of revenue in FY26. A delay, cancellation or change in a major contract could therefore affect its financial performance.
These factors will be important for prospective investors assessing whether the company's technology and order pipeline can translate into consistent revenue, earnings and cash generation.
Tonbo Imaging had a confirmed order book worth ₹314.24 crore as of June 2026. It received an additional ₹118.15 crore in orders between July and September.
The order pipeline provides visibility into potential future business, although converting orders into revenue depends on execution schedules and customer requirements.
The wider Indian defence sector also offers opportunities for specialised electronics manufacturers. Growing interest in domestic defence production and increasing demand for advanced surveillance and targeting systems could support the industry over time.
However, sector growth alone does not guarantee stronger results for an individual company. Tonbo Imaging will need to manage contract execution, export exposure and working-capital requirements to improve its financial performance.
Tonbo Imaging's IPO presents investors with an opportunity to gain exposure to a company operating in the defence electronics sector. Its specialised product portfolio and confirmed orders may appeal to those interested in India's defence manufacturing industry.
At the same time, the decline in FY26 revenue and profit, negative operating cash flow and dependence on a relatively small group of major customers warrant careful consideration.
The IPO's entirely offer-for-sale structure is another important distinction: the issue provides an exit route for existing shareholders but does not directly fund Tonbo Imaging's future expansion.
Investors evaluating the offering should consider the company's valuation alongside its earnings, order execution capabilities, cash flow and ability to recover from the recent decline in exports.
Ultimately, Tonbo Imaging's public-market debut will give investors an opportunity to assess both its position in defence technology and the financial challenges it must address to support sustainable growth.
